Diva Talent – Non-exclusive Talent Representation Agreement

Please read this Agreement carefully. You accept it only by ticking the acceptance box and clicking "Accept" in your Diva Talent account. Nothing in this Agreement applies to you because you visit or browse the website.

1. Parties

1.1 Diva means Diva Talent Production and Event, a sole establishment owned by Nicollette Mary Rodrigues, holding professional licence no. 547031 issued by the Dubai Department of Economy and Tourism [CONFIRM: check name, owner and licence details against the licence PDF], with its office at Warehouse No. 27-1, Al Khayat Avenue, Al Quoz Industrial Area 1, P.O. Box 454178, Dubai, United Arab Emirates. As a sole establishment, Diva has no separate legal personality from its owner. Diva trades as "Diva Talent" and "Diva Dubai".

1.2 Talent or you means the individual who registers a talent account on divadubai.com and accepts this Agreement. If you are under 21, your parent or legal guardian ("Guardian") must also accept it (see clause 14).

1.3 This Agreement sets out the terms on which Diva represents you on a non-exclusive basis.

1.4 Effective date and earlier dealings. This Agreement takes effect on the date you accept it. It does not apply retroactively. Diva records your original registration date separately for reference only. Any Bookings, consents and dealings before that date remain governed by whatever was agreed with you at the time.

2. Definitions

• Agreement: this Non-exclusive Talent Representation Agreement, version 2026-10-30-v2, together with any Booking Confirmation.
• Booking: an engagement of you by a Client for paid work that Diva arranges or that is covered by clause 4.
• Booking Confirmation: the written (including email or dashboard) confirmation of a Booking setting out the Client, dates, fee, usage and other terms. You must approve it before it is binding on you.
• Client: any brand, agency, production company, event organiser, photographer or other person who seeks to engage talent.
• Dashboard: your logged-in account area on divadubai.com.
• Fee: the gross amount payable by the Client for your services in a Booking, excluding VAT and reimbursable expenses.
• Public Casting Pages: pages of divadubai.com or Diva's social-media accounts that anyone can view, showing talent available for, or booked for, castings and jobs.
• Talent ID: the unique reference code Diva gives you (for example "DT-10234"), which does not reveal your name.
• Talent Materials: photographs, video, audio, measurements, skills, biography and other content about you that you provide or that Diva creates or receives for representing you.
• Working Day: Monday to Friday, excluding UAE public holidays.

3. Appointment and scope (Non-exclusive)

3.1 You appoint Diva as a non-exclusive representative for modelling and talent work, in the United Arab Emirates and elsewhere.

3.2 You are free to work independently and with other agencies, managers or bookers. Diva may represent other talent, including talent who compete with you for work.

4. Availability, double-booking and introductions (Non-exclusive)

4.1 You will keep your availability in the Dashboard up to date. You will not accept a Booking through Diva that clashes with another commitment, or accept other work that clashes with a Booking you have confirmed through Diva.

4.2 You will tell Diva about any exclusivity or conflict that may affect a Booking (for example a competitor brand campaign or a usage restriction).

4.3 Diva earns commission only on Bookings that Diva introduces or arranges. No commission is payable on work you find yourself or through another agency.

4.4 If Diva introduces you to a Client, any work you do for that Client within 6 months of the introduction is a Booking through Diva, and you will not deal with that Client directly to avoid Diva's commission. This does not apply where you can show you already worked with that Client before Diva's introduction.

5. Diva's duties

5.1 Diva will act in good faith and in your interests. Diva will: (a) promote you to Clients and put you forward for suitable castings and jobs; (b) negotiate fees and terms on your behalf; (c) give you a Booking Confirmation and never commit you to a Booking without your approval; (d) invoice and collect Fees from Clients; (e) account to you for money received for you; and (f) take reasonable steps to check that Bookings are with genuine Clients and in safe working conditions.

5.2 Diva does not guarantee any minimum number of castings, Bookings or earnings.

6. Your duties

6.1 You will: (a) give Diva accurate, up-to-date information, including your age, measurements and availability; (b) attend confirmed castings and Bookings on time and act professionally; (c) tell Diva as soon as possible if you cannot attend; (d) follow reasonable lawful instructions of the Client on set; and (e) comply with UAE law, including laws on public decency, privacy and media content.

6.2 Permits and visas. You are responsible for holding a valid UAE residence visa, freelance or work permit, or other authorisation that allows you to do each Booking, and for keeping it valid. You will give Diva copies on request. Diva may decline or cancel a Booking if valid authorisation is not provided.

6.3 Permits arranged by Diva. In some cases Diva may offer to apply for a permit for you (for example a temporary work or mission permit for a Booking). If so: (a) before applying, Diva will tell you in writing the expected cost, including government fees and any typing or service-centre charges; (b) Diva will apply only after you confirm you want it to; (c) you will reimburse Diva the actual cost, supported by receipts – with no mark-up or Diva fee; and (d) Diva may deduct that cost from your Fees only with your written agreement (dashboard or email); otherwise you will pay it within 14 days of Diva's invoice. Arranging a permit does not make you Diva's employee.

6.4 You will not post or share details of a Booking, Client or campaign before it is public, or discuss fees with Clients directly, unless Diva or the Client agrees.

7. Commission and payment

7.1 Diva's commission is 20% of the Fee for each Booking under clause 4.3 or 4.4. 7.2 Diva will not deduct anything else from your Fees without your separate written consent for each item. 7.3 Diva will pay you the Fee less commission within 3 Working Days after Diva receives cleared payment from the Client, by bank transfer to the account in your Dashboard. Diva will provide a statement showing the Fee, commission, and any agreed expenses. 7.4 Diva will chase late-paying Clients with reasonable effort. Diva is not liable to pay you sums that a Client has not paid, but will keep you informed and will not settle a claim for less without your consent. 7.5 Amounts are exclusive of VAT, which will be added where applicable. You are responsible for your own taxes and registrations. 7.6 Any other paid services Diva may offer will be on separate terms.

8. Image, name and likeness licence

8.1 Grant. You grant Diva a non-exclusive, royalty-free, non-transferable licence, during the Term and the Post-Termination Period (clause 10.4), to use your Talent Materials, name and likeness only to promote you and secure work for you, as follows: (a) Public Casting Pages. Diva may show your photographs together with your Talent ID only. Diva will never show your name, contact details, address or ID documents on Public Casting Pages. (b) Client portfolios. Diva may send your portfolio, including your name, measurements and Talent Materials, to Clients and prospective Clients for castings and Bookings. Diva will share your name and other personal details with Clients only on a confidential basis and require them to use the information only to consider or manage a Booking. (c) Showing work completed. Diva may show images from completed Bookings on Public Casting Pages and in Diva's portfolio (with your Talent ID only), subject to any Client restrictions. (d) Internal use. Diva may keep and use your Talent Materials to run your account and Bookings.

8.2 Limits. Diva will not: (a) sell or license your Talent Materials to anyone for their own use; (b) use them to endorse any product, brand or cause other than Diva's talent services; (c) materially alter your appearance (cropping, resizing, colour correction and watermarking are allowed); or (d) use them for any purpose not listed in clause 8.1 without your separate written consent.

8.3 Client usage. A Client's use of images produced in a Booking (media, territory, duration) is governed by the Booking Confirmation, which you approve.

8.4 Photographer copyright. Copyright in a photograph usually belongs to the photographer, not to the person photographed (UAE Federal Decree-Law No. 38 of 2021). You confirm that for every image you upload you own the rights, or have permission from the photographer to use it for these purposes. You will tell Diva of any required credit or restriction. Diva will credit photographers where required. Images from shoots commissioned by Diva are used under Diva's arrangement with the photographer.

8.5 Nothing in this Agreement transfers ownership of your Talent Materials or your name to Diva.

9. Takedown and withdrawal

9.1 You may at any time: (a) hide your profile from Public Casting Pages; (b) remove any image; or (c) withdraw your consent to public display under clause 13.7 (Box A). You can do this in the Dashboard (Settings › Visibility) or by email to nicole@divadubai.com.

9.2 Diva will remove the item from Public Casting Pages and Diva-controlled social-media accounts within 5 Working Days. Diva will ask search engines to refresh cached copies but cannot control third-party sites.

9.3 Excluded: withdrawal does not affect (a) use already made; (b) materials already produced and used, or being used, in a Client campaign under a Booking you approved; or (c) printed materials already distributed.

9.4 Hiding your profile from public pages does not stop Diva sending your portfolio to Clients privately under clause 8.1(b), unless you also ask for that.

10. Term and termination (Non-exclusive)

10.1 Term. This Agreement starts when you (and your Guardian, if applicable) accept it and continues until ended.

10.2 Termination. (a) Either party may end it on 30 days' written notice (Dashboard or email). (b) Either party may end it immediately if the other commits a material breach not remedied within 7 days of notice, or immediately for fraud, serious misconduct or conduct exposing the other to legal liability.

10.3 Switching to Exclusive. You may switch to Diva's Exclusive terms at any time by accepting them in the Dashboard. Until you do, you remain Non-exclusive.

10.4 After termination. Bookings confirmed before the end date go ahead unless agreed otherwise, and commission is payable on them, as is commission under clause 4.4 for introductions made before the end date. Diva will remove your profile from Public Casting Pages within 5 Working Days and may continue to show completed-work images (with Talent ID only) for a Post-Termination Period of 6 months, unless you ask for removal sooner under clause 9.

11. Conduct and safety

11.1 Diva will not knowingly put you forward for any Booking that is unlawful, involves nudity or content contrary to UAE public-decency or media-content laws, or is unsafe. You may refuse any Booking or any request on set that you are not comfortable with, and you should tell Diva immediately. 11.2 Diva may suspend your profile or end this Agreement under clause 10 if you behave unlawfully, abusively or dishonestly towards Diva, Clients or other talent.

12. Liability

12.1 Each party is responsible for losses it causes by breaching this Agreement or by its fraud, wilful misconduct or gross negligence. 12.2 Diva is not responsible for the acts or omissions of Clients, but will help you enforce your rights under a Booking. 12.3 Neither party is liable for indirect loss or loss of opportunity, except where caused by fraud or wilful misconduct, or where UAE law does not allow liability to be limited. 12.4 Nothing in this Agreement limits liability for death or personal injury caused by negligence, or for fraud, or any liability that cannot be limited under UAE law.

13. Personal data and consent

13.1 Controller. Diva (clause 1.1) is the controller of your personal data under UAE Federal Decree-Law No. 45 of 2021 on the Protection of Personal Data ("PDPL"). Contact: nicole@divadubai.com, or the address in clause 1.1.

13.2 Data we process. Name, Talent ID, date of birth, nationality, contact details, ID and visa/permit documents, photographs and video, measurements and appearance details, skills and languages, availability, Booking history, bank details, and messages with Diva. Where you are under 21, we also process your Guardian's name, contact details and ID.

13.3 Purposes and lawful basis.

13.4 Recipients. (a) Clients and prospective Clients for castings and Bookings (on a confidential basis); (b) Diva's service providers listed in clause 13.5; (c) professional advisers, auditors and banks; (d) authorities where required by law. Diva does not sell your personal data.

13.5 Where your data is held.

Diva will update this list if it changes materially and will notify you of any new country before transferring your data there.

13.6 Cross-border transfers. Some of the services above store data outside the UAE, including in India. Diva transfers personal data outside the UAE only as permitted by Articles 22 and 23 of the PDPL. Specifically: (a) where the country has data-protection legislation recognised as adequate, Diva relies on that adequacy; (b) otherwise, Diva relies on contractual safeguards that bind the recipient to protect your data to a standard consistent with the PDPL, including the AWS Data Processing Addendum and Google Workspace's data-processing terms, together with access controls and encryption; and (c) sharing your portfolio with an overseas Client for a casting or Booking you have applied for or approved is necessary to perform this Agreement. Where none of these grounds applies, Diva will ask for your separate, express consent before the transfer, and you can refuse. You may ask nicole@divadubai.com for a copy or summary of the safeguards.

13.7 Consents. Consents are optional, are given by separate boxes that are not pre-ticked, and can be withdrawn at any time in the Dashboard (Settings › Privacy) or by email. Withdrawing does not affect processing that took place before withdrawal: - Box A – public display of my photos with my Talent ID on Public Casting Pages and Diva's social media. - Box B – casting newsletters and offers. If you do not tick Box A, Diva will still represent you by sending your portfolio to Clients privately.

13.8 Retention. While your account is active. After termination or 24 months of inactivity, Diva deletes or anonymises your data, except: Booking, contract, invoicing and payment records, kept for at least 7 years after the end of the relevant tax period (to meet UAE Corporate Tax record-keeping, which is longer than the 5-year minimum for commercial books and VAT records); and data needed for an existing claim.

13.9 Your rights. Subject to the PDPL, you may ask to access, correct, complete, delete, restrict or stop processing of your data, to receive it in a portable format, and to object to processing. Requests are free. Diva will respond within 30 days. You may complain to the UAE Data Office.

13.10 Security and breaches. Diva uses access controls, encryption in transit and confidentiality obligations on staff. Diva will notify you and the Data Office of a personal-data breach where required by law.

14. Talent under 21

14.1 Guardian acceptance. If you are under 21 (the age of majority under UAE law), this Agreement, every consent, and every Booking must be accepted by your Guardian. The Guardian confirms they have legal authority to act for you and gives their name, relationship and Emirates ID or passport number. Diva will ask for proof of guardianship.

14.2 Talent aged 18 to 20. The Guardian approval rule in clause 14.1 applies, including approval of Bookings. Clauses 14.3 to 14.6 do not apply to talent aged 18 to 20.

14.3 Talent under 18 – work rules. For every Booking of talent under 18, Diva will require the Client to agree to the following, and will not confirm the Booking otherwise: (a) a Guardian, or an adult the Guardian nominates in writing, is present throughout the Booking, including travel and fittings; (b) no more than 6 hours of actual work per day, including at least 1 hour of breaks in total and no more than 4 hours in a row; (c) no work between 7 pm and 7 am, no overtime, and no work on weekends or official holidays; (d) a medical fitness certificate where the law requires one; (e) school comes first: no Booking during school hours or exams unless the Guardian and the school agree in writing; (f) no content that is unsuitable for a child or contrary to UAE public morals, child-rights or media-content rules, including revealing outfits, promotion of products harmful to children (such as tobacco, vaping, energy drinks or adult products), or dangerous activity; and (g) a safe and suitable workplace with changing facilities.

14.4 Children under 15. UAE law prohibits the employment of children under 15. Diva will only put forward children under 15 for Bookings where the engagement is lawful, any required permits or approvals have been obtained, and the Guardian is present throughout. 14.5 Privacy of minors. Diva will never show the name, contact details, school or location of a talent under 21 publicly. Public Casting Pages may show the photo and Talent ID of a talent under 18 only with the Guardian's separate consent (Box A). The Guardian can withdraw that consent at any time.

14.6 Earnings of minors. Fees for talent under 18 are paid to the Guardian's nominated account. Diva expects Guardians to use or hold the child's earnings for the child's benefit, and Diva will provide statements to the Guardian.

14.7 Guardian powers. The Guardian may withdraw consents, refuse a Booking, or end this Agreement under clause 9 or 10 on the minor's behalf.

15. Changes to this Agreement

15.1 Diva may propose updates to this Agreement. An updated version applies to you only after you actively accept it in the Dashboard (or your Guardian does). Continuing to use the website does not count as acceptance. 15.2 Until you accept an update, the version you last accepted continues to apply. If you do not accept within 60 days, either party may end this Agreement on 30 days' notice. 15.3 Diva records the version, date and time of each acceptance, and emails you a copy.

16. General

16.1 Entire agreement. This Agreement and any Booking Confirmations are the whole agreement between you and Diva about representation. They replace all earlier talent terms on divadubai.com. If a Booking Confirmation conflicts with this Agreement, the Booking Confirmation prevails for that Booking only. 16.2 Relationship. You are an independent talent and not an employee of Diva. Diva acts as your agent for arranging Bookings. 16.3 Assignment. Neither party may transfer this Agreement without the other's written consent, except Diva may transfer it to a successor of its talent business on written notice to you, and you may then end it immediately. 16.4 Notices. Notices may be given through the Dashboard or by email: to you at your registered email, and to Diva at register@divadubai.com. 16.5 Electronic acceptance. You agree that acceptance by clicking in the Dashboard is a valid electronic signature under UAE law. 16.6 Language. This Agreement is published in Arabic and English. If there is any conflict between the two, the Arabic version prevails. Diva will provide a professional legal translation; machine translation will not be used. 16.7 Severability. If any provision is found invalid, the rest of this Agreement continues. 16.8 Governing law and jurisdiction. This Agreement is governed by the federal laws of the United Arab Emirates as applied in the Emirate of Dubai. The Courts of Dubai have exclusive jurisdiction over any dispute arising from it.
